Terms and Conditions

Words with initial capital letters have meanings defined under these conditions. The same meanings apply whether they appear in singular or plural.

Application means the software applications provided by Codesplice Ltd, including TraxQM, TraxCM, Trax2D and FMVerify. Company means Codesplice Ltd, 37 Chestnut Drive, Harrow, HA3 7DL, UK. Service refers to one or more of the applications. You means the individual, company or other legal entity accessing or using the service.

These Terms and Conditions govern use of the service and set out the rights and obligations of all users.

By accessing or using the service, you agree to be bound by these terms. If you disagree with any part of these terms, you may not access the service.

You represent that you are over the age of 18. Your access to and use of the service is also conditioned on acceptance of the Codesplice Privacy Policy.

The service is available only with a paid subscription. You will be invoiced in advance on a recurring and periodic basis depending on the subscription plan.

The subscription term is fixed at commencement and is not terminable for convenience by either party. At the end of each period, the subscription renews under the same conditions unless cancelled by you or Codesplice.

Either party may cancel renewal by giving three months' written notice before the renewal anniversary. Paid subscription fees are non-refundable except where required by law or granted at Codesplice's sole discretion.

Codesplice may, at its sole discretion, offer a subscription with a free trial for a limited period. Billing information may be required to sign up.

If billing information is provided, you will not be charged until the free trial expires. Codesplice reserves the right to modify or cancel any free trial offer at any time.

The service and its original content, features and functionality remain the exclusive property of Codesplice Ltd and its licensors.

The service is protected by copyright, trademark and other laws. Codesplice trademarks and trade dress may not be used without prior written consent.

The service may contain links to third-party websites or services not owned or controlled by Codesplice.

Codesplice has no control over and assumes no responsibility for third-party content, privacy policies or practices. You should read the terms and privacy policies of any third-party sites you visit.

Codesplice may terminate or suspend access immediately, without prior notice or liability, for any reason, including breach of these terms.

Upon termination, your right to use the service ceases immediately.

To the maximum extent permitted by law, Codesplice and its suppliers will not be liable for special, incidental, indirect or consequential damages arising from use of or inability to use the service.

The entire liability of Codesplice under these terms is limited to the amount actually paid by you through the subscription period.

The service is provided as is and as available, with all faults and defects, without warranty of any kind.

Codesplice disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

These terms and your use of the service are governed by the laws of England, and the parties submit to the exclusive jurisdiction of the English courts.

If you have a concern or dispute about the service, you agree to first try to resolve it informally by contacting Codesplice.

Codesplice reserves the right to modify or replace these terms at any time. If a revision is material, Codesplice will make reasonable efforts to provide at least 30 days' notice.

By continuing to access or use the service after revisions become effective, you agree to be bound by the revised terms.
